Introduction
Welcome to the website of Gioia LLC ("Gioia," "Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, event booking platform, and related communications.
By accessing or using this website, requesting information, submitting an inquiry, subscribing to our communications, or booking our services, you agree to be bound by these Terms. If you do not agree to these Terms, you should discontinue use of the website immediately.
Company Information
Gioia LLC is a Texas limited liability company providing:
Mobile coffee cart services
Espresso and specialty beverage catering
Corporate event beverage services
Private event coffee catering
Wedding and special event beverage services
Related food and beverage hospitality services
Services are subject to availability, operational capacity, venue requirements, and acceptance by Gioia LLC.
Eligibility
You must be at least eighteen (18) years of age and legally capable of entering into binding contracts to use this website or book services through the website.
By using this website, you represent and warrant that you meet these requirements.
Event Inquiries and Booking Requests
Submission of an inquiry form, quote request, or booking request does not create a binding agreement.
A booking is not confirmed until:
Gioia LLC has approved the event;
A written agreement or service contract has been executed (if required);
Any required deposit has been received; and
Written confirmation has been provided by Gioia LLC.
We reserve the right to decline any booking request for any lawful reason.
Quotes
Written quotes provided by Gioia LLC:
Are based on information supplied by the customer;
May include assumptions regarding attendance, location, staffing, and event duration;
Are valid only for the period stated in the quote;
May be revised if event details change.
Additional charges may apply for:
Extended service hours;
Travel outside standard service areas;
Parking fees;
Venue-specific requirements;
Additional staffing;
Special menu requests;
Last-minute modifications.
Deposits, Payments, and Billing
A non-refundable deposit may be required to reserve an event date.
Unless otherwise stated in a written agreement:
Deposits are applied toward the final balance.
The remaining balance is due no later than seven (7) calendar days before the event date.
Late payments: Any balance not paid by the due date (or within the agreed payment terms) will incur a $50 late fee, plus 1% interest per week (equivalent to 4% per month) until paid in full. Events may be postponed or services withheld until the balance is paid.
The customer is responsible for all collection costs, including reasonable attorneys' fees where permitted by law.
Gioia LLC reserves the right to suspend or cancel services for unpaid balances.
Texas Sales Tax and Online Payments
All prices, quotes, estimates, and invoices are subject to applicable federal, state, county, municipal, and local taxes.
Where required by Texas law, sales tax will be calculated and collected on taxable products and services.
Customers are responsible for any taxes, governmental fees, transaction fees, or charges imposed in connection with their purchase.
Online deposits and payments are processed through third-party payment providers. By submitting payment, customers authorize Gioia LLC to charge the designated payment method for the agreed amount, including applicable taxes and authorized fees.
The customer is responsible for ensuring that payment information provided is accurate and authorized for use.
In the event of a chargeback, payment dispute, or reversed transaction, Gioia LLC reserves the right to recover the unpaid balance, collection costs, administrative expenses, and reasonable attorneys' fees to the fullest extent permitted by law.
Customer Cancellation Policy
All cancellation requests must be submitted in writing by email.
Refunds are calculated based on the scheduled event date as follows:
More Than 30 Days Before Event
Any payments received beyond the non-refundable deposit will be refunded in full.
The deposit remains non-refundable.
15–30 Days Before Event
Fifty percent (50%) of payments made beyond the deposit will be refunded.
The deposit remains non-refundable.
8–14 Days Before Event
Twenty-five percent (25%) of payments made beyond the deposit will be refunded.
The deposit remains non-refundable.
7 Days or Less Before Event
No refunds will be issued.
This policy reflects staffing commitments, inventory purchases, scheduling obligations, and lost booking opportunities.
No refunds will be issued for services that have already been performed.
Event Rescheduling
Customers may request to reschedule an event.
Rescheduling requests are subject to availability and must be approved by Gioia LLC.
Approved reschedules made at least fourteen (14) days before the event may have deposits transferred to a new date within twelve (12) months.
Requests made within fourteen (14) days of the event may be treated as cancellations at the Company's discretion.
Company Cancellation
If Gioia LLC cancels services due to circumstances within our control, the customer will receive a full refund of amounts paid.
If services cannot be performed due to circumstances beyond our reasonable control, including severe weather, natural disasters, government orders, public safety concerns, labor disruptions, or other force majeure events, the Company may:
Reschedule the event; or
Issue a refund at its discretion, less unrecoverable costs already incurred.
No-Show Events
If the customer fails to provide access to the event location, fails to appear, or otherwise prevents service delivery, the event will be considered completed and no refund shall be issued.
Refund Processing
Approved refunds will be processed within ten (10) business days of approval.
Financial institutions may require additional processing time before funds appear in the customer's account.
Force Majeure
Gioia LLC shall not be liable for any delay, interruption, reduction of services, or failure to perform resulting from circumstances beyond its reasonable control ("Force Majeure Event"), including but not limited to:
Acts of God;
Hurricanes, floods, tornadoes, earthquakes, fires, or severe weather;
Public health emergencies, epidemics, pandemics, or quarantines;
Government orders, regulations, or restrictions;
Utility outages;
Transportation disruptions;
Labor disputes or shortages;
Supply chain interruptions;
Civil unrest, riots, terrorism, or acts of war;
Venue closures;
Equipment failures caused by circumstances beyond reasonable control; or
Any other event that renders performance commercially impracticable, unsafe, or impossible.
Upon the occurrence of a Force Majeure Event, Gioia LLC may, at its sole discretion:
Suspend performance;
Modify service plans;
Reduce service offerings;
Reschedule the event to a mutually agreeable date; or
Terminate the agreement.
Where services cannot reasonably be performed due to a Force Majeure Event, refunds, credits, or rescheduling options shall be determined by Gioia LLC after consideration of expenses incurred, inventory purchased, staffing commitments, and other unrecoverable costs.
Under no circumstances shall Gioia LLC be liable for consequential, incidental, indirect, or special damages resulting from a Force Majeure Event.
Weather and Outdoor Event Limitations
Because mobile coffee cart operations involve electrical equipment, beverage preparation equipment, and food-service materials, Gioia LLC reserves the right to modify, suspend, delay, relocate, or terminate services when weather conditions create safety risks for guests, staff, or equipment.
Weather conditions that may trigger service limitations include:
Heavy rain;
Lightning;
High winds;
Flooding;
Excessive heat;
Freezing temperatures;
Severe weather warnings;
Hazardous air quality conditions; or
Any condition reasonably determined to be unsafe.
For outdoor events, the customer is responsible for providing adequate protection from weather conditions, which may include:
Covered service areas;
Tents or canopies approved by Gioia LLC;
Weather-resistant flooring or surfaces;
Protection from standing water;
Adequate ventilation and shade.
If adequate weather protection is unavailable, Gioia LLC may:
Suspend service until conditions improve;
Relocate service operations;
Reduce menu offerings;
Shorten service duration; or
Terminate services entirely when necessary for safety.
Any such modification or termination due to unsafe weather conditions shall not be considered a breach of contract by Gioia LLC.
Unless otherwise required by law, payments made for scheduled services remain subject to the Booking & Cancellation Policy and are not automatically refundable due to adverse weather conditions.
Venue Access and Utilities Requirements
The customer is solely responsible for ensuring that the event venue is suitable for safe and efficient operation of Gioia LLC's equipment and personnel.
Unless otherwise agreed in writing, the customer must provide:
Adequate space for setup and operation; at least 1 hour before the event start time for setup and 1 hour after the service agreement ends for cleanup and load-out.
Safe access for loading and unloading equipment;
Legal authorization to operate on the premises;
Any required venue approvals or permits;
Access to restroom facilities for staff when permitted by venue rules;
Sufficient lighting for evening events;
A level and stable surface suitable for mobile coffee cart operations.
Electrical service is required, the customer must provide:
Dedicated electrical outlets in good working condition;
Electrical service meeting the specifications communicated by Gioia LLC;
Utility access located within a reasonable distance of the service area.
If venue conditions differ materially from those represented during booking, Gioia LLC reserves the right to:
Modify equipment configuration;
Delay setup;
Limit service offerings;
Relocate operations within the venue; or
Decline service if conditions present a safety risk.
The customer shall remain responsible for all fees, costs, and charges arising from venue restrictions, inadequate utilities, or inaccurate venue information. Gioia LLC may refuse service where conditions are unsafe, unlawful, or materially different from those represented during booking.
Client Responsibility for Guest Conduct
The client is responsible for the conduct of all event attendees, guests, invitees, vendors, contractors, venue personnel, and other individuals present at the event under the client's control or invitation.
Gioia LLC reserves the right to refuse service to any individual who:
Is disruptive, abusive, threatening, or intoxicated;
Interferes with staff, equipment, or operations;
Engages in unlawful conduct;
Creates unsafe working conditions; or
Poses a risk to the safety or wellbeing of guests, staff, or property.
If disruptive behavior materially interferes with Gioia LLC's ability to provide services, Gioia LLC may suspend or terminate services without refund.
The client agrees to reimburse Gioia LLC for any damages, losses, additional labor costs, or expenses resulting from the actions of attendees, guests, vendors, or other persons associated with the event.
Nothing in this provision shall require Gioia LLC personnel to remain in a situation that is unsafe, hostile, or unlawful.
Damage to Equipment and Property
The customer shall be responsible for any loss, theft, damage, destruction, or vandalism affecting Gioia LLC's equipment, furnishings, supplies, inventory, or property caused by:
The customer;
Event attendees;
Guests;
Vendors hired by the customer;
Venue personnel; or
Any third party under the customer's control or supervision.
The customer agrees to reimburse Gioia LLC for the reasonable cost of repair or replacement of damaged property, including labor, shipping, rental replacement equipment, and related expenses.
Gioia LLC shall not be responsible for damage to venue property or third-party property caused by circumstances outside of its negligence or willful misconduct.
The customer shall promptly notify Gioia LLC of any incident involving damage, theft, injury, or unsafe conditions occurring during the event.
Insurance and Liability Waiver
Gioia LLC maintains commercially reasonable business insurance coverage appropriate for its operations.
To the fullest extent permitted by law, the client assumes responsibility for risks associated with hosting the event and acknowledges that participation in food and beverage service activities carries inherent risks, including but not limited to:
Allergic reactions;
Accidental spills;
Slips, trips, and falls;
Injuries caused by third parties;
Conditions arising from venue facilities or property.
The client agrees to release, waive, and hold harmless Gioia LLC, its members, managers, officers, employees, contractors, agents, and representatives from any claims, liabilities, damages, losses, costs, or expenses arising from:
Actions or omissions of event attendees;
Venue conditions not under Gioia LLC's control;
Third-party vendors;
Client-provided equipment, furnishings, food, beverages, or supplies;
Circumstances beyond Gioia LLC's reasonable control.
This waiver shall not apply to claims resulting directly from Gioia LLC's gross negligence, willful misconduct, or conduct for which liability cannot be waived under applicable law.
The client agrees to indemnify and defend Gioia LLC against claims brought by guests, attendees, vendors, or third parties arising from the client's event, except to the extent caused by Gioia LLC's gross negligence or willful misconduct.
Where requested by Gioia LLC for large-scale events, festivals, corporate activations, or events involving elevated risk, the client may be required to provide proof of event liability insurance naming Gioia LLC as an additional insured.
Exclusive Beverage Service
To ensure service quality, operational efficiency, and accurate staffing and inventory planning, Gioia LLC shall be designated as the exclusive coffee and specialty beverage service provider for the duration of the contracted service period unless otherwise approved in writing.
Without prior written consent from Gioia LLC, the client shall not permit:
Another coffee cart vendor;
Mobile espresso service providers;
Specialty coffee caterers;
Espresso bar vendors;
Competing beverage service providers offering substantially similar products
to operate within the event area during Gioia LLC's contracted service period.
This exclusivity provision does not prohibit:
Standard venue beverage services;
Water stations;
Soft drink service;
Alcohol service;
Beverage offerings materially different from Gioia LLC's contracted services,
unless otherwise specified in the event agreement.
If an unauthorized competing coffee or specialty beverage vendor is present during the contracted service period, Gioia LLC reserves the right to:
Modify service levels;
Reduce staffing;
Adjust inventory commitments;
Decline responsibility for reduced sales or consumption; or
Treat the violation as a material breach of the agreement.
The presence of an unauthorized competing vendor shall not entitle the client to any refund, credit, discount, or reduction in fees owed under the agreement.
Any exception to this exclusivity provision must be approved by Gioia LLC in writing before the event date.
Food Safety and Allergens
Gioia LLC strives to maintain high standards of food safety and beverage preparation.
However, customers acknowledge that:
Products may contain or come into contact with common allergens, including dairy, nuts, soy, wheat, and other allergens.
We cannot guarantee that any product is completely allergen-free.
Ingredient availability may change without notice.
Individuals with allergies, sensitivities, or dietary restrictions should notify us before consuming products.

Graphics
Videos
Marketing materials
Website design
is the property of Gioia LLC or its licensors and is protected under applicable intellectual property laws.
No content may be copied, reproduced, distributed, modified, or used without prior written consent.

You represent that you own or have the necessary rights to provide such content.
Photo and Media Release
Unless otherwise agreed in writing, the customer grants Gioia LLC permission to photograph, record, and capture images or video of:
Event setups;
Coffee carts;
Beverage presentations;
Service operations; and
General event environments.
Gioia LLC may use such photographs and recordings for lawful marketing, advertising, portfolio, website, social media, and promotional purposes.
We will make reasonable efforts to avoid identifying individuals by name without permission.
Customers who do not wish for event images to be used for marketing purposes must notify Gioia LLC in writing before the event date.
Website Availability
We do not guarantee uninterrupted access to the website.
Gioia LLC may:
Modify website content;
Suspend website functionality;
Restrict access;
Perform maintenance;
Discontinue portions of the website
at any time without notice.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
GIOIA LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

Indemnification
You agree to defend, indemnify, and hold harmless Gioia LLC and its members, managers, employees, contractors, agents, and affiliates from any claims, liabilities, damages, losses, costs, and expenses arising out of:

Your violation of these Terms;
Your negligence or misconduct;
Your violation of any law or third-party rights.
Privacy
Your use of the website is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Governing Law

Dispute Resolution
